POSTOWER DEALER TERMS & CONDITIONS

Authorized Dealer Program Agreement

Purpose

This Dealer Terms & Conditions Agreement governs participation in the Postower Authorized Dealer Program operated by PMK Supply, Inc. (“Postower”). Postower products are distributed through approved dealers and distributors and are not sold directly to consumers.

Dealer Eligibility

Dealers must provide accurate business registration information, maintain all required business licenses, tax registrations, and permits, and comply with applicable federal, state, and local laws.

Dealer Accounts

Dealer accounts are subject to approval by PMK Supply. Postower reserves the right to approve, deny, suspend, or terminate dealer accounts at its sole discretion.

Pricing and Quotations

Dealer pricing, discounts, promotional programs, and quotations are confidential and may be modified at any time. Quotations are subject to product availability, pricing adjustments, freight costs, and written confirmation.

Orders and Payments

Orders are not binding until accepted by PMK Supply. Payment terms, credit approvals, deposits, and account limits may apply. PMK Supply reserves the right to refuse or cancel orders.

Resale Responsibilities

Dealers are solely responsible for customer relationships, installation arrangements, project management, local code compliance, permits, taxes, and after-sale customer communications.

Marketing and Branding

Dealers may use approved Postower marketing materials, logos, trademarks, and product information only as authorized by PMK Supply. Unauthorized modifications or misleading representations are prohibited.

Warranty Administration

Dealers agree to assist customers with warranty registrations, warranty claims, documentation requests, inspections, and replacement-part coordination in accordance with Postower Warranty & Claims Policies.

Returns and Claims

Returns, shortages, freight damage claims, and warranty claims must be reported promptly and handled according to Postower Return, Shipping, and Warranty Policies.

Intellectual Property

All trademarks, logos, product designs, images, specifications, marketing materials, and website content remain the exclusive property of PMK Supply, Inc.

Confidential Information

Dealer pricing, business plans, customer information, supplier information, and proprietary business materials provided by PMK Supply shall be treated as confidential.

Privacy and Data Protection

Dealers shall comply with applicable privacy laws and protect customer information. Personal information shared between dealers and PMK Supply shall be processed in accordance with the Postower Privacy Policy, CCPA, and CPRA where applicable.

Limitation of Liability

To the maximum extent permitted by law, PMK Supply shall not be liable for indirect, incidental, consequential, special, punitive, or lost-profit damages arising from dealer activities, sales, installations, projects, or customer relationships.

Termination

PMK Supply may suspend or terminate dealer participation at any time for violations of these Terms, non-payment, misuse of trademarks, reputational harm, legal violations, or other business reasons.

Governing Law

This Agreement shall be governed by the laws of the State of California without regard to conflict-of-law principles.
